Terms of Service

Please read these Terms of Service ("Terms") carefully before using Corleh CRM operated by Corleh ("Corleh", "we", "us", or "our"). By accessing or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Corleh governing your access to and use of the Corleh CRM platform, including all associated features, APIs, content, and services made available at crm.corleh.com (collectively, the "Service"). By creating an account, authenticating via OAuth, or otherwise accessing the Service, you affirm that you are of legal age to enter into this agreement and that you agree to comply with these Terms in their entirety.
If you are using the Service on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms and that these Terms apply to that entity and all users authorised by it.
2. The Service
Corleh CRM is a customer relationship management (CRM) platform that provides tools for contact management, email campaign management, deal pipeline tracking, AI-assisted drafting, LinkedIn posting, Gmail integration, Google Calendar integration, and related productivity features.
Corleh reserves the right, at its sole discretion, to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
Access to the Service is currently restricted to authorised users. Corleh may open the Service to the public or additional users at its discretion.
3. Account Registration & Security
Access to the Service requires authentication via Google OAuth 2.0. You are responsible for maintaining the security of your Google account and OAuth session. You must notify Corleh immediately at legal@corleh.com if you suspect any unauthorised access to your account.
You are solely responsible for all activity that occurs under your account. Corleh is not liable for any loss or damage arising from your failure to maintain account security.
Corleh reserves the right to suspend or terminate your account at any time, with or without cause, including where it reasonably suspects a breach of these Terms, misuse of the Service, or activity that could harm Corleh, other users, or third parties.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to send spam, unsolicited commercial communications, or messages in violation of applicable anti-spam laws (including CAN-SPAM, CASL, and GDPR requirements for email marketing).
- Import, store, or process contact data without a lawful basis to do so under applicable data protection law.
- Use the Service to harass, threaten, defame, or otherwise harm any individual or organisation.
- Attempt to gain unauthorised access to any part of the Service, its underlying infrastructure, or data belonging to other users.
- Use automated scripts, bots, or scrapers to interact with the Service in a manner that exceeds normal human usage or places unreasonable load on our infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the Service to store or transmit malicious code, viruses, or any content that could interfere with the operation of the Service or third-party systems.
- Resell, sublicence, or otherwise make the Service available to third parties without our prior written consent.
- Use the Service in any manner that violates the terms of service of integrated third-party platforms (Google, LinkedIn, etc.).
- Upload content that infringes any intellectual property, privacy, or other rights of any third party.
Corleh reserves the right to investigate suspected violations of these provisions and to take appropriate action, including account suspension, termination, or referral to law enforcement authorities.
5. Data & Intellectual Property Rights
5.1 Your Content
You retain ownership of all contact records, notes, campaign content, and other data you input into the Service ("Your Content"). By using the Service, you grant Corleh a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, transmit, process, display, and use Your Content solely to: (a) provide and operate the Service on your behalf; (b) improve, develop, and enhance the Service in anonymised or aggregated form; and (c) comply with legal obligations.
You represent and warrant that you own or have the necessary rights and consents to submit Your Content to the Service and to grant Corleh the licence above, and that Your Content does not violate any law or infringe the rights of any third party.
5.2 Corleh's Intellectual Property
The Service and all of its components — including but not limited to software, algorithms, AI models, user interface designs, graphics, text, features, and trade secrets — are and remain the exclusive intellectual property of Corleh and its licensors. These Terms do not grant you any ownership interest in the Service or its underlying technology.
Any feedback, suggestions, ideas, or improvements you provide to Corleh regarding the Service ("Feedback") shall be deemed the sole and exclusive property of Corleh. You assign to Corleh all right, title, and interest in and to any Feedback, and Corleh is free to use Feedback without any obligation of compensation or attribution to you.
5.3 Aggregate & Derived Data
Corleh may collect, generate, and use anonymised, aggregated, or de-identified data derived from your use of the Service, including usage patterns, feature adoption metrics, AI interaction patterns, and performance benchmarks ("Aggregate Data"). Corleh owns all rights in Aggregate Data and may use it for any lawful business purpose, including product development, commercial analytics, and publication of industry research, provided such data cannot reasonably be used to identify you or your contacts.
6. Privacy & Data Processing
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
With respect to personal data of third-party contacts that you store and process using the Service, you act as the data controller and Corleh acts as a data processor. You are solely responsible for ensuring you have a lawful basis to collect and process such data and for complying with all applicable data protection laws, including but not limited to GDPR, UK GDPR, CCPA, and CASL. You agree to indemnify Corleh against any claims, fines, or damages arising from your failure to comply with these obligations.
7. Third-Party Integrations
The Service integrates with third-party platforms including Google (Gmail, Google Calendar), LinkedIn, Anthropic (Claude AI), and Resend (email delivery). Your use of these integrations is subject to the terms of service and privacy policies of the respective third-party providers. Corleh is not responsible for the acts or omissions of any third-party provider, for changes to their APIs, or for any disruption to integrations caused by third-party actions.
Third-party providers may have their own requirements for how their data may be used. You agree to use third-party data (e.g. email content accessed via Gmail API, LinkedIn data) strictly in accordance with the terms imposed by those platforms and applicable law.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CORLEH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Corleh does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) the results obtained from the Service will be accurate or reliable; (c) any defects in the Service will be corrected; or (d) the Service or the servers that make it available are free of viruses or other harmful components.
AI-generated content produced by the AI Agent feature is provided for informational and drafting assistance purposes only. It may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and taking responsibility for any AI-generated content you use or distribute.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORLEH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, CORLEH'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO CORLEH IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Corleh and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or violation of these Terms;
- Your Content, including any claims that Your Content infringes a third party's rights;
- Your processing of third-party contact data without appropriate consent or lawful basis;
- Your violation of any applicable law, including data protection, anti-spam, or consumer protection laws;
- Any email campaigns or LinkedIn posts sent via the Service that result in claims from recipients.
11. Term & Termination
These Terms remain in effect for as long as you use the Service. Corleh may suspend or terminate your access at any time, for any reason, including for breach of these Terms. You may stop using the Service at any time.
Upon termination: (a) all licences granted to you under these Terms will immediately cease; (b) you may request export of Your Content within 30 days; (c) we will delete or anonymise your data in accordance with our Privacy Policy. Sections 5.2 (Corleh's IP), 5.3 (Aggregate Data), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) shall survive termination.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of or in connection with these Terms or the Service.
Before initiating any formal legal proceeding, you agree to first contact Corleh at legal@corleh.com and attempt to resolve the dispute informally for a period of 30 days. This informal resolution requirement does not apply to applications for emergency injunctive or other equitable relief.
Class Action Waiver: To the fullest extent permitted by law, you waive any right to bring claims against Corleh as a plaintiff or class member in any purported class or representative action.
13. Changes to These Terms
Corleh may revise these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by emailing registered users or displaying an in-app notice. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to revised Terms, you must stop using the Service.
14. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Corleh with respect to the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- No Waiver: Failure by Corleh to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision in the future.
- Assignment: You may not assign or transfer these Terms without Corleh's prior written consent. Corleh may assign these Terms freely.
- Force Majeure: Corleh will not be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control.
